KEYSTONE ORGANIZING SYSTEMS — TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the websites, services, content, educational materials, consulting services, and technology solutions provided by KeyOrg Systems ("Company," "we," "us," or "our"), including but not limited to keyorg.systems and all related subdomains and affiliated properties (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not access or use our Services.

1. Definitions

For the purposes of these Terms, the following definitions apply:

"Proprietary Frameworks" means all proprietary methodologies, models, systems, processes, and frameworks developed by KeyOrg Systems, including but not limited to the Business Cortex™ framework, Market-Product-Profit system, The Awareness Canvas, and any derivative or related frameworks, tools, templates, worksheets, or assessment instruments, whether published or unpublished.

"Content" means all text, graphics, images, audio, video, data, software, code, educational materials, course materials, presentations, documentation, and other materials available through the Services.

"User" or "you" means any individual or entity accessing or using the Services, whether as a visitor, registered user, student, consulting client, or subscriber.

"User Content" means any content, data, information, or materials that you submit, upload, or provide through the Services.

2. Intellectual Property Rights

2.1 Ownership

All Content, Proprietary Frameworks, Services, and related intellectual property are and shall remain the exclusive property of KeyOrg Systems and its licensors. This includes all patents, copyrights, trademarks, trade secrets, trade dress, and other proprietary rights therein. Nothing in these Terms grants you any right, title, or interest in or to the Services or Content beyond the limited license expressly stated herein.

2.2 Proprietary Framework Protection

The Proprietary Frameworks constitute trade secrets and proprietary intellectual property of KeyOrg Systems. You acknowledge that:

  • The Proprietary Frameworks are original works developed through substantial investment of time, expertise, and resources.
  • The specific structure, methodology, terminology, visual representations, and organizational systems of the Proprietary Frameworks are protected by copyright, trade secret, and trademark law.
  • Access to Proprietary Frameworks through the Services does not constitute a transfer of any intellectual property rights.
  • You shall not reverse-engineer, deconstruct, or attempt to derive the underlying methodology, structure, or processes of the Proprietary Frameworks.

2.3 Limited License

Subject to these Terms, KeyOrg Systems grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Content for your personal or internal business purposes. This license does not include the right to:

  1. Reproduce, distribute, publicly display, or publicly perform any Content or Proprietary Frameworks beyond personal use.
  2. Modify, adapt, translate, or create derivative works based on any Content or Proprietary Frameworks.
  3. Use any Content or Proprietary Frameworks to create competing products, services, courses, or consulting methodologies.
  4. Sublicense, resell, rent, lease, or otherwise transfer access to the Services or Content.
  5. Remove, alter, or obscure any proprietary notices, trademarks, or copyright markings.
  6. Use automated systems (bots, scrapers, crawlers) to access, extract, or collect Content.

2.4 Trademarks

KeyOrg Systems, the Business Cortex, and all related names, logos, product and service names, designs, and slogans are trademarks of KeyOrg Systems or its affiliates. You may not use such marks without prior written consent. All other names, logos, and brands are property of their respective owners.

3. User Accounts

Certain features of the Services may require you to create an account. You agree to provide accurate, complete, and current information and to keep your account credentials confidential. You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Consulting Services

Consulting engagements are governed by separate consulting agreements or statements of work ("SOW") in addition to these Terms. Where a SOW conflicts with these Terms, the SOW shall control with respect to the specific engagement. All work product created by KeyOrg Systems during consulting engagements remains the intellectual property of KeyOrg Systems unless explicitly assigned in writing. Client-specific deliverables created during consulting engagements are licensed to the client for internal use only, unless a separate agreement states otherwise.

5. Educational Services and Courses

Access to educational content, courses, cohort programs, and related materials is subject to the specific terms of the applicable enrollment agreement. Course materials are licensed, not sold. You may not record, redistribute, or share course materials, live sessions, or proprietary content with non-enrolled parties. Completion of courses does not grant certification, licensure, or any professional credential unless explicitly stated.

6. Payment Terms

Fees for Services are stated at the time of purchase or in applicable agreements. All fees are in U.S. dollars unless otherwise specified. Payment is due at the time of purchase or as specified in your agreement. We use third-party payment processors and do not store complete payment card information on our servers. Refund policies, if any, are stated at the point of sale for each specific Service offering.

7. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights.
  • Infringe upon or misappropriate any intellectual property rights of the Company or others.
  • Transmit malware, viruses, or other harmful code.
  • Engage in unauthorized data collection, scraping, or harvesting.
  • Interfere with or disrupt the Services or servers.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Use the Services or Content to develop competing products or services.

8. Disclaimer of Warranties

THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, KEYORG SYSTEMS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. CONSULTING AND EDUCATIONAL SERVICES ARE ADVISORY IN NATURE; WE DO NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES, REVENUE, OR RESULTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYORG SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO KEYORG SYSTEMS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless KeyOrg Systems, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, your infringement of any intellectual property or other rights of the Company or any third party, or your User Content.

11. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your license to use the Services and Content immediately ceases. Sections regarding intellectual property, indemnification, limitation of liability, and dispute resolution shall survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Philadelphia, Pennsylvania, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions or class-wide arbitration. For claims of intellectual property infringement, KeyOrg Systems may seek injunctive relief in any court of competent jurisdiction.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Services or via email. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

14. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full effect. Our failure to enforce any right or provision shall not constitute a waiver. These Terms, together with any applicable SOW or enrollment agreement, constitute the entire agreement between you and KeyOrg Systems regarding the Services. You may not assign your rights under these Terms without our written consent.
